What happened
Datadog, Inc. (NASDAQ: DDOG) CTO and director Alexis Le-Quoc sold 43,224 Class A shares on Oct. 28 for a total of $12.06 million.
The form reports nine sales. Weighted-average prices ran from $276.38 to $284.33 a share, and individual trades ranged from $275.73 to $284.81. The filing says all were made under a Rule 10b5-1 plan dated June 13, 2025.

Why it matters
By OptimistFi's calculation, the sale was 8.1% of the 531,257 Class A shares Le-Quoc held directly just before selling. That holding included the shares converted from Class B the same day.
Le-Quoc's Class B positions are far larger than the remaining direct Class A stake. The sale leaves most of the reported ownership in place.
Those Class B shares can become Class A shares whenever Le-Quoc chooses, as some did on Oct. 28. The plan also predates the trades by more than 16 months.
OptimistFi has argued that Datadog can be a durable compounder if it stays the independent observability and security platform and turns usage growth into high-margin cash flow. A planned sale of this size leaves that case unchanged.
Because the sale ran under the earlier plan, it does not by itself say anything about management's view of the business.

What's next
Datadog's next quarterly report is the next test of the case. Evidence that usage growth is turning into high-margin cash flow would support OptimistFi's view. A slowdown in either would weaken it.
