Lumentum (NASDAQ: LITE) agrees to all-stock Marvell takeover at a 23.9% premium

What happened

Marvell Technology, Inc. (NASDAQ: MRVL) agreed to buy Lumentum Holdings Inc. (NASDAQ: LITE) in an all-stock deal announced Nov. 2.

Lumentum holders would own shares of a combined company, not a standalone optical business. Their outcome now depends on Marvell's stock and on the deal closing.

The companies call the combination a category leader in AI connectivity. It would join Marvell's electrical and optical interconnect, switching and custom silicon with Lumentum's lasers, optical transceivers and optical circuit switching.

Both boards approved the agreement unanimously. Marvell Chairman and CEO Matt Murphy will keep those roles. Three Lumentum directors, including CEO Michael Hurlston, will join Marvell's board, which now has seven directors.

What Lumentum holders get

Each Lumentum share converts into a fixed 4.500 shares of Marvell common stock. The filing puts the implied enterprise value for Lumentum at $115 billion, or $1,132 per Lumentum share.

That is a 23.9% premium to each company's unaffected closing share price on Oct. 28, the last trading day before market speculation about a deal began.

Because the ratio is fixed, the dollar value Lumentum holders receive will move with Marvell's share price until closing. After closing, current Marvell stockholders will own 67% of the combined company on a fully diluted basis.

Why it matters

OptimistFi has argued that Lumentum works if its optical technology stays scarce and its FY2026 surge turns into lasting margin and cash. The deal puts a price on that argument. It also moves the test from Lumentum's own execution to Marvell's stock and the closing.

The companies say the combination expands their total addressable market to $550 billion. They also expect better long-term revenue growth, non-GAAP gross margin and non-GAAP operating margin.

They see a path to more than $1 billion in annual run-rate cost synergies. They expect the deal to add to Marvell non-GAAP earnings per share in year one after closing. That claim is measured on Marvell's earnings. Lumentum holders would share any gain through their stake in the combined company.

What the companies say each side brings

Lumentum brings compound semiconductor manufacturing, including indium phosphide, and high-speed and high-power laser capabilities. After closing, the companies plan to combine that with chip design and advanced packaging to deepen integration and strengthen strategic supply.

Marvell separately reported preliminary revenue for its fiscal third quarter of 2027 that matched its guidance. It kept the midpoint and narrowed the expected range to plus or minus 2% from plus or minus 5%. Marvell calls these unaudited estimates for the quarter ended Oct. 31, 2026.

Lumentum separately reported results for its fiscal first quarter of 2027. They are posted on its investor relations website.

What's next

The deal is expected to close in the first half of calendar 2028. It needs approval from Marvell and Lumentum stockholders, regulatory approvals and other customary conditions.

Marvell plans to file a registration statement on Form S-4 with a joint proxy statement and prospectus. It will be mailed to both sets of stockholders after the SEC declares the form effective.

The companies list risks that include failing to win stockholder or regulatory approval, trouble integrating the two businesses and not realizing the synergies on time or at all. Approval from both stockholder groups and regulators would turn the exchange ratio into shares. A failed vote or a regulatory block would leave the stated benefits unrealized.
