Why it matters

The money buys time but does not test the product. OptimistFi has argued that Gorilla Technology's value depends on proving its software deployments are repeatable, profitable and cash-generative. A financing does not show that.

By OptimistFi's calculation, the first closing is 25.0% of the total funding the agreement allows. The cost is dilution risk. The company reserved up to 8,050,000 ordinary shares for note conversion and warrant exercise. It had 26,188,972 shares outstanding on Dec. 31, 2025.

The notes rank ahead of the company's other debt and equity. They rank equally with its June 2026 and July 2026 indentures. Project debt can also rank equally if it raises gross proceeds of at least $500 million and meets other conditions. That covers data center, infrastructure, smart city, energy and technology projects.

Once the underlying shares can be resold freely, the company may prepay a note at 100% of outstanding principal. The investor can then convert up to one-fourth of the amount owed.

What's next

The first test is whether the initial closing happens. Any later tranche needs consent from both sides. The company can request one only after at least $11.11 million of the initial notes is converted or repaid.
