CooperCompanies CEO steps down and ex-STERIS CEO Rosebrough runs operations (NASDAQ: COO)

What happened

The Cooper Companies, Inc. (NASDAQ: COO) said CEO Albert White III resigned Oct. 27, effective immediately, and left the board. Walt Rosebrough, an independent director since January, became interim Executive Chair. He will oversee daily operations until a permanent CEO is named.

White stays on as a strategic advisor through April 1, 2027. A CEO Search Committee of Lawrence Kurzius, Cynthia Lucchese and Teresa Madden is running the search with the firm Russell Reynolds. Rosebrough said the company's recent performance "has not met our expectations."

The board is also changing. Shlomi Nachman, a former Johnson & Johnson executive who led a portfolio of medical device businesses including Vision, joins Dec. 8. Directors Barbara Carbone, Colleen Jay and Robert Weiss will not stand for reelection at the 2027 annual meeting. After that, the board intends to have seven directors.

Cooper also reaffirmed the fiscal 2026 guidance it issued Sept. 9.

Why it matters

OptimistFi has argued that Cooper can create durable value if its contact lens and CooperSurgical businesses keep growing while management turns that scale into margins and per-share earnings. A new leader, with the board saying decisive action is needed, puts that conversion under direct new oversight.

The company pointed to Rosebrough's record as STERIS CEO from 2007 to 2021. Shareholders earned an 18% annualized return against 10% for the S&P 500, an edge of 8 percentage points a year. Market capitalization rose by over $20 billion.

Reaffirmed guidance tells holders the board is not changing its fiscal 2026 outlook. Against that, the CEO seat is empty, the chair is interim, and the STERIS record belongs to another company. The seven planned nominees include three current or former public company CEOs and one former leader of a global vision business.

What's next

Nachman joins the board Dec. 8. Cooper will amend its 8-K once terms are set for the extra pay White is expected to receive as a strategic advisor.

The next tests are the naming of a permanent CEO and the 2027 annual meeting, where the board intends to nominate seven directors. A CEO choice that arrives with fiscal 2026 guidance intact would support the case. A change to that guidance would weaken it.
