Range Resources to Join EQT in $50B Appalachian Gas Deal

EQT Corp. announced an agreement to acquire Range Resources (NYSE:RRC) in an all-stock transaction that the companies said would create a larger, vertically integrated Appalachian natural gas platform focused on serving anticipated growth in domestic power generation, pipeline takeaway and international markets.

Under the agreement, Range shareholders would receive 0.987 shares of EQT common stock for each Range share they own. EQT shareholders are expected to own about 73% of the combined company at closing, with Range shareholders owning the remaining 27%. EQT Chief Financial Officer Jeremy Knop said the transaction implies a pro forma enterprise value of more than $50 billion.

EQT President and CEO Toby Rice said the combination would unite adjacent resource positions in southwest and northeast Pennsylvania, providing more flexibility in development sequencing, infrastructure use and volume flows. He said EQT sees more than 30 years of inventory across the combined company and projects a pro forma unlevered free-cash-flow breakeven below $2 per MMBtu.

Demand growth drives timing

Rice said the emerging demand outlook in Appalachia was a key catalyst for pursuing the deal. EQT cited prospective natural gas demand tied to new power-generation facilities, pipeline infrastructure and industrial development, particularly around the Clarington, Ohio, delivery point and along the Ohio River.

During the question-and-answer session, Knop said EQT had increased its estimate for potential Appalachian natural gas demand to 25 Bcf per day from a previously discussed level near 20 Bcf per day. He said the company continues to see momentum in discussions with parties across the value chain.

Rice said EQT’s existing productive capacity could exceed 12 Bcf per day, while Range has stated it could potentially produce 5 Bcf per day and sustain that level for 15 years. Together, he said, the companies could have productive capacity of about 17 Bcf per day.

However, Rice said future production growth would remain tied to confirmed customer demand rather than being pursued as a standalone target. EQT expects mid-single-digit growth to be achievable, but management said it intends to continue emphasizing “sustainable growth” supported by contracted demand.

Synergies and commercial opportunities

EQT identified $325 million in annual base synergies, primarily from corporate, organizational and operating efficiencies. Knop said the bulk of those savings are expected to be reflected in operating expenses rather than reduced capital expenditures.

The company also cited more than $300 million in potential additional annual long-term synergy upside from midstream system optimization, gas, LNG and LPG marketing, premium supply agreements and the accelerated development of inventory into demand growth. Management noted that these opportunities may take longer to translate into cash flow than conventional cost synergies because some depend on the construction of new infrastructure and customer facilities.

Rice said EQT would assess opportunities to add compression and optimize gathering systems across the Range asset base, characterizing compression investments as potentially high-return and fast-payback projects. He said the companies do not expect significant changes to Range’s development schedule during the first 12 months after closing.

Management also highlighted commercial opportunities from combining EQT’s marketing platform with Range’s production and liquids exposure. Knop said EQT generated approximately $200 million of incremental free cash flow from its commodities organization in the prior year and expects broader scale to support additional optimization.

EQT currently has nearly 1 Bcf per day of international market exposure through LNG contracts. Rice said maintaining roughly 15% of production exposure to international markets could provide capacity for approximately 2 million tons per annum of additional LNG associated with Range volumes, depending on the attractiveness of future opportunities.

Balance sheet and shareholder returns

Knop said the all-equity structure would strengthen EQT’s balance sheet and support its objective of achieving BBB or equivalent credit ratings from all agencies by early 2027. EQT set a pro forma maximum debt target of 1x net debt to adjusted EBITDA at a $2.75 per MMBtu NYMEX natural gas price.

At that gas-price assumption, EQT projects nearly $14 billion in cumulative pro forma free cash flow over five years. Under a $5 per MMBtu scenario, it projected cumulative five-year free cash flow of more than $38 billion.

Rice said EQT’s capital-allocation framework would remain largely unchanged, including disciplined investment, modest dividend growth, cash accumulation and opportunistic share repurchases. He said the transaction’s deleveraging effect, expected free-cash-flow-per-share accretion and projected synergies could provide more flexibility for buybacks.

Range President and CEO Dennis Degner said Range’s board concluded that combining with EQT offered the best opportunity to accelerate shareholder value through greater scale, infrastructure access and market reach. He said Range remains on track to execute the final year of its multiyear growth plan in 2027.
