OPKO (NASDAQ: OPK) lets $121 million of notes convert into shares

What happened

OPKO Health, Inc. (NASDAQ: OPK) said on October 1, 2026, that $121 million of 3.75% notes are now convertible. The notes stay convertible through December 31, 2026, and OPKO will settle any conversion obligation in common stock. The conversion right was triggered after the stock closed above $1.495, or 130% of the $1.15 conversion price, for at least 20 of 30 consecutive trading days during the quarter ended September 30, 2026.

A holder that converts receives 869.5652 shares per $1,000 principal amount, plus any additional shares under the early conversion provisions.

Why it matters

OptimistFi's case is that OPKO works only if BioReference restructuring and higher-margin pharmaceutical assets turn a shrinking, cash-burning healthcare portfolio into a self-funded turnaround before dilution or competitive erosion wins. This filing adds a share-settled conversion window on about $121 million of debt, so any holder conversion would add new equity claims. The trigger price of $1.495 is 130% of the $1.15 conversion price, which means the stock had to move above the threshold for the notes to become convertible.

The filing also says the notes remain convertible through December 31, 2026, and OPKO elected to settle any conversion obligation in common stock. That can preserve cash, but it shifts the obligation into shares if holders convert. The conversion rate is fixed in the filing, so investors can size the potential claim from the note terms. The notes are still only convertible if holders act and if future measurement periods satisfy the Indenture, which limits the near-term impact.

What's next

The current conversion window runs through December 31, 2026. After that, the notes may still be convertible if future measurement periods satisfy the conditions in the Indenture. If holders convert before then, OPKO will issue shares instead of cash for the obligation. The next observable checkpoint is that year-end date, when the current window ends and later convertibility depends on future measurement periods.
