
Cybin (NASDAQ:HELP), doing business as Helus Pharma, held its Annual General and Special Meeting of Shareholders, where shareholders were asked to consider resolutions related to the company’s auditor, board size, corporate name and director elections.
Eric So, the company’s co-founder and executive chairman, chaired the virtual meeting, which was hosted through Odyssey Trust Company’s shareholder meeting platform. So said the company had established quorum and that the meeting was properly constituted to conduct business.
Auditor Appointment and Board Size
Shareholders were asked to appoint Zeifmans LLP as the company’s auditor and authorize the board to determine the auditor’s remuneration. Greg Cavers, Helus Pharma’s chief financial officer, moved the resolution, and director Paul Glavine seconded it.
The company also put forward a special resolution to set the number of directors at eight. The resolution required approval from at least two-thirds of the votes cast at the meeting. Cavers moved the measure and Glavine seconded it.
Proposed Name Change to Helus Pharma
Another special resolution sought shareholder approval to change the corporation’s name from Cybin Inc. to Helus Pharma Inc., or another name approved by the board and accepted by applicable regulatory authorities.
The name-change proposal also required support from at least two-thirds of the votes cast. Cavers moved the resolution, while Glavine seconded it.
Cybin had already been described throughout the meeting as doing business as Helus Pharma.
Director Nominees
Following the special resolutions, shareholders considered the election of directors. So said no director nominations beyond management’s nominees had been received in accordance with the company’s bylaws, and nominations from the floor would not be accepted.
Cavers nominated the following eight individuals for election to the board:

- Grant Froese
- Paul Glavine
- Michael Halstead
- Eric Hoskins
- Mark Lawson
- Freda Lewis-Hall
- Eric So
Glavine seconded the nominations. The meeting was attended by So, Chief Executive Officer Michael Halstead, Cavers and Glavine, among others involved in the meeting’s administration.
Voting was conducted through the virtual platform and by proxies received before the cutoff time. So said shareholders who had previously voted did not need to vote again, as a subsequent vote would revoke a prior submission.
The company did not announce vote totals or final results during the formal meeting. So said particulars of votes cast on each matter would be published by the corporation after the meeting and could also be obtained from the secretary.
After the voting period closed, shareholders approved a motion to conclude the meeting, formally ending the session.
