What happened
Brookfield Infrastructure Partners L.P. (NYSE: BIP) lifted third-quarter FFO per unit to $0.91 from $0.83, while net income fell to $69 million from $440 million a year earlier. The Nov. 6 press release says the drop is largely due to higher gains on asset sales in the prior-year period.
Management uses FFO per unit as its key measure of operating performance. The release says this was the third quarter in a row that met the company's 10% growth target. Net income per limited partnership unit was a loss of $0.04, against income of $0.44 a year earlier. This quarter's net income still included gains from asset sales.

Where the growth came from
Total FFO rose to $717 million from $654 million. The release credits organic growth from inflationary price increases, strong asset utilization and about $1.4 billion of capital projects commissioned from the backlog. It adds that new investments from the past twelve months earn returns above the yield lost from asset sales over the same period.
The data segment grew fastest, with FFO up 25% to $172 million from $138 million. The release points to the Intel semiconductor foundry partnership in Arizona, where equity funding was completed during the quarter. It also cites a full quarter from a U.S. bulk fiber network acquired in the third quarter of 2025.
Transport FFO rose to $315 million from $286 million on port volumes, toll road volumes and tariffs, and the North American railcar leasing platform that closed on Jan. 1. Midstream rose to $178 million from $156 million, helped by Canadian diversified midstream and elevated commodity prices.
Utilities reached $200 million from $190 million. Inflation indexation and about $600 million of capital commissioned into rate base helped, and earnings lost to asset sales partly offset them. Corporate FFO was negative $148 million, against negative $116 million a year earlier.

Why it matters
For a unitholder, the gap between the two measures is the story. OptimistFi's calculation puts FFO per unit up 9.6% from a year earlier, while net income is down 84.3%. The release ties most of the net income drop to asset-sale gains booked in the prior-year quarter.
OptimistFi has argued that Brookfield Infrastructure compounds per-unit cash returns by buying long-lived, contracted infrastructure. Per-unit growth near the 10% target supports that view. So does the release's statement that new purchases earn more than the yield given up in sales.
Three caveats sit beside that claim. Asset sales cut both ways. The release lists lost earnings from the sale of a minority interest in an Indian gas pipeline and from the Australian container terminal business as partial offsets in utilities and transport.
FFO is not an IFRS measure, and the filing says it is unlikely to be comparable with similar measures at other issuers. Reported net income is also well below last year.
Asset sales and the AI pipeline
Asset sales fund the growth. Brookfield has secured about $1.5 billion of proceeds and expects to beat its $2 billion target for the year. It is nearing binding offers on several advanced sales processes. These could bring over $1 billion of added proceeds net to BIP before year end. The release says there is no assurance that any such deal will be agreed or completed.
On the spending side, the partnership deployed about $1.7 billion of equity year to date. It also invested $1.9 billion in organic capital expenditures, including about $700 million of equity at its share.
The largest new commitment is a strategic partnership with NAVER to develop sovereign AI capabilities, including over 200 MW of compute capacity. The project is expected to need about $9 billion of capital. The expected equity commitment is about $100 million net to BIP.
Brookfield will finance and own the compute capacity through a leasing company. Contracted cash flows give a return on the invested capital and full recovery of it over the initial contract term.
The first GPU deployment is expected in the first half of 2027, with full deployment by the end of 2028. Brookfield targets about $500 million of AI infrastructure capital a year on average, net to BIP. It has also entered a strategic partnership with Drax to potentially develop a large-scale AI factory in the U.K.
Liquidity and the distribution
At the corporate level, BIP has about $3.2 billion of liquidity. More than 90% of its term debt, excluding Brazil, is fixed rate, and the release describes the maturities as well staggered.
BIP did not declare a fourth-quarter distribution because the corporate simplification is expected to close on Nov. 19. After closing, and subject to board approval, Brookfield Infrastructure Partners Inc. intends to declare and pay a fourth-quarter dividend on its Class A Shares. The amount would match the current quarterly distribution of $0.455 per unit.
What's next
The next dated event is the corporate simplification, expected to close on Nov. 19. After that, the board's declaration of the fourth-quarter dividend on the BIP Inc. Class A Shares will show whether the payout matches the current quarterly level. A lower amount would weaken the distribution side of the case.
Before year end, binding offers on the advanced sales processes would show whether the sales target is beaten. Preferred distributions on Series 9, 11 and 19 are payable on Dec. 31 to holders of record on Nov. 30.
