
LivePerson (NASDAQ:LPSN) stockholders approved the company’s proposed merger transaction with SoundHound.AI at a special meeting held virtually in 2026, clearing a key shareholder-vote requirement for the deal.
The company’s stockholders voted to adopt the amended and restated merger agreement dated July 2, 2026, among LivePerson, SoundHound.AI, Lightspeed Merger 1 and Lightspeed Merger 2. The proposal covers the transactions contemplated by the agreement, including the first merger and second merger.
Shareholders Approve Merger and Compensation Proposal
In addition to the merger proposal, stockholders approved a separate non-binding advisory proposal concerning compensation that may be paid or become payable to LivePerson’s named executive officers in connection with the merger.
The company did not present an adjournment proposal for a vote because sufficient votes had already been received to approve the merger proposal, according to CFO and COO John Collins.
LivePerson’s board had recommended that stockholders vote in favor of both the merger agreement and the advisory executive-compensation proposal.
Meeting Reached Required Quorum
Collins said LivePerson had 12,332,427 shares issued and outstanding and entitled to vote as of July 6, 2026, the record date for the special meeting. Holders of 33.3% of those shares were required to establish a quorum.
Based on the preliminary report from Cheryl Niebling of the Tardito Group, who served as inspector of elections, at least 33.3% of eligible shares were represented virtually or by proxy. The company therefore had the quorum necessary to conduct business.
Collins also said stockholders of record as of the July 6 record date had been notified of the meeting by mail on or about July 9, 2026. An affidavit from Broadridge Financial Solutions regarding the notice was included in the meeting record, he said.
Final Results to Be Filed on Form 8-K
LivePerson said the inspector of elections will execute a certificate covering the vote results, which will be placed in the company’s minute books along with the meeting minutes.
The final voting results are expected to be reported in a Current Report on Form 8-K within four business days after the special meeting, Miller said.
No shareholder questions were raised during the meeting regarding either the merger proposal or the executive-compensation advisory proposal. After the results were announced, LivePerson adjourned the special meeting.
