
Faraday Future Intelligent Electric (NASDAQ:FFAI) said stockholders approved two of three proposals at a special meeting, according to preliminary voting results announced by the company.
The approved proposals included authorization for the issuance of the company’s Class A common stock to the holder of certain convertible notes under Nasdaq Listing Rule 5635(d), as well as a proposal allowing the company to adjourn the meeting for additional proxy solicitation if needed.
Special Meeting Proposals
Koti Meka, the company’s chief financial officer and chairman of the meeting, said stockholders were asked to vote on three matters:
- Approval of the issuance of Class A common stock to the holder of certain convertible notes, in accordance with Nasdaq Listing Rule 5635(d).
- Approval of a charter amendment to change the company’s name to Faraday Future Physical AI Ecosystem Inc.
- Approval of potential adjournments to allow further solicitation of proxies if necessary or otherwise deemed appropriate by the meeting chairperson.
“Based upon a preliminary count of the shares voted by proxy at this meeting, proposals one and three have been approved,” Meka said after the voting polls closed.
The final voting results will be disclosed in a Form 8-K filing with the Securities and Exchange Commission within four business days, the company said.
Quorum and Share Count
Todd Harrington, Faraday Future’s general counsel and corporate secretary, reported that notice of the special meeting was sent to stockholders of record beginning July 15, 2026. The meeting’s record date was June 17, 2026.
As of the record date, the company had 346,161,912 shares of common stock outstanding and eligible to vote, along with 5,071,258 shares of Series B preferred stock and 11,502 shares of Series C convertible preferred stock. Each Series C convertible preferred share carried 3,846 votes, Harrington said.
Harrington said the preliminary report from the inspector of election showed that common stockholders representing at least one-third of outstanding voting shares were present in person or represented by proxy, satisfying the threshold required to establish a quorum.
Jim Raitt of American Election Services LLC was appointed as inspector of election for the meeting. The company said the inspector’s final report would be attached to the meeting minutes.
